Terms of Service

These Terms of Service govern Your use of syslabs.in, Syslabs Academy, Orgofin, and any engagement with Syslabs (Xenlabs Services LLP) for software development, IT consulting, digital marketing, or internship programs.

Governed by Indian Law Seat of Arbitration: Hyderabad, Telangana

1. Agreement to Terms

These Terms of Service ("Terms") govern Your access to and use of the website located at https://www.syslabs.in, Syslabs Academy, the Orgofin platform, and any related services (collectively, the "Service"), operated by Syslabs | Xenlabs Services LLP, a limited liability partnership registered under the laws of India with its registered office at 5-45 Narsingapoor, Veenavanka, Karimnagar, Telangana 505502, India ("Syslabs", "Company", "We", "Us", or "Our").

By accessing or using the Service, You agree to be bound by these Terms. If You do not agree to these Terms, You must not access or use the Service. If You are accessing or using the Service on behalf of a company or other legal entity, You represent that You have the authority to bind that entity to these Terms, in which case "You" refers to that entity.

Where You engage Syslabs for a specific paid service - such as custom software development, IT consulting, digital marketing, or any other service described on the Service - the specific scope, deliverables, fees, and timelines for that engagement will be set out in a separate written proposal, statement of work, or service agreement ("Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement will govern with respect to that specific engagement.

2. Intellectual Property Rights

Our Website and Content

Unless otherwise indicated, We own or have licensed all intellectual property rights in the Service and the material on it, including but not limited to text, graphics, logos, the Syslabs and Syslabs Academy names and marks, course materials, curricula, and software (excluding deliverables covered under "Client Deliverables" below). All such intellectual property rights are reserved.

Client Deliverables

Where Syslabs is engaged under a Service Agreement to develop custom software, websites, or other deliverables for a client, ownership of the intellectual property in those deliverables will transfer to the client upon full payment of the applicable fees, as specified in the relevant Service Agreement. Unless otherwise agreed in writing, Syslabs retains the right to reuse general-purpose components, frameworks, libraries, and know-how developed during an engagement that are not specific to the client's confidential business logic or branding, for use in other engagements.

Syslabs Academy Course Materials

Course materials, curricula, video content, exercises, and other learning resources provided through Syslabs Academy remain the intellectual property of Syslabs. Enrollment grants You a limited, non-exclusive, non-transferable license to access and use such materials for Your personal learning purposes during and, where stated, after the course period. You may not reproduce, redistribute, resell, or publicly share course materials without Our prior written consent.

3. Eligibility and User Representations

By using the Service, You represent and warrant that:

  • You have the legal capacity to enter into these Terms. If You are under the age of 18, You may use the Service only with the involvement and consent of a parent or legal guardian, including for Syslabs Academy enrollment.
  • You will not use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Your use of the Service will not violate any applicable law or regulation, including the laws of India and any jurisdiction from which You access the Service.
  • Any information You provide to Us (including through enquiry forms, course enrollment, or internship applications) is accurate, current, and complete.

4. Fees, Payment, and Refunds

IT Services and Custom Development

Fees for software development, consulting, and other IT services are set out in the applicable Service Agreement, typically structured as fixed-scope, milestone-based pricing. Payment terms (including advance payments, milestone payments, and final payments) will be specified in that Service Agreement. Scope changes requested after a Service Agreement is signed will be discussed and quoted separately and are not included in the original fee unless agreed in writing.

Syslabs Academy

Fees for Syslabs Academy courses and tracks are as stated at the time of enrollment. Refund eligibility, if any, will be specified in the course-specific enrollment terms provided at the time of purchase. Unless such course-specific terms state otherwise, fees for Syslabs Academy courses are non-refundable once access to course materials has been granted.

General

All fees are exclusive of applicable taxes (including GST) unless stated otherwise, and such taxes will be added to invoices as required under Indian law. Late payments may attract interest or suspension of services as specified in the relevant Service Agreement.

5. Internships and Academy Engineering Tracks

Syslabs offers internship positions and Syslabs Academy engineering tracks (Product Engineering Foundations, Advanced Product & Infrastructure Engineering, and Internet Systems & Architecture Engineering) on a rolling, non-fixed-cycle basis, as described on Our Careers page.

Interns and Academy track participants may be required to sign a separate internship agreement or learning agreement covering matters such as confidentiality, code of conduct, work hours, and stipend (if any), which will supplement these Terms. Work product created by interns in the course of their internship - including contributions to Syslabs products such as Orgofin or the Syslabs Intern Tracker - is owned by Syslabs, subject to any specific arrangements set out in the internship agreement.

Completion of an internship or Academy track does not guarantee a full-time offer of employment. Where a pre-placement offer (PPO) is extended, it will be subject to separate terms of employment.

6. Cancellation and Termination by You

You may discontinue use of the Service, withdraw from a Syslabs Academy course, or request cancellation of an ongoing engagement at any time by contacting Us as described in Section 18 (Contact Us). Cancellation of a paid engagement or course does not automatically entitle You to a refund; refund eligibility (if any) is governed by Section 4 (Fees, Payment, and Refunds) and the applicable Service Agreement or course enrollment terms.

7. Prohibited Activities

You may not access or use the Service for any purpose other than that for which We make the Service available. You are prohibited from:

  • Using the Service in any way that violates any applicable law or regulation.
  • Impersonating any person or entity, or misrepresenting Your affiliation with any person or entity.
  • Interfering with, disrupting, or imposing an unreasonable load on the Service or the servers or networks connected to it.
  • Attempting to gain unauthorized access to any part of the Service, other accounts, or computer systems through hacking, password mining, or any other means.
  • Posting or transmitting content that is defamatory, obscene, abusive, or otherwise unlawful under Indian law, including the Information Technology Act, 2000 and rules made thereunder.
  • Using the Service for any commercial purpose not contemplated by these Terms or an applicable Service Agreement, without Our express written consent.
  • Reverse engineering, decompiling, or disassembling any part of the Service or related software, except to the extent such restriction is prohibited by applicable law.
  • Using any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages than a human can reasonably produce in the same period using a conventional browser, except for crawlers permitted under Our robots.txt.

8. User-Generated Content and Submissions

The Service may allow You to submit content such as enquiry messages, testimonials, course feedback, reviews, or comments ("User Contributions"). By submitting User Contributions, You represent and warrant that:

  • The User Contributions are original to You, or You have all necessary rights and permissions to submit them.
  • The User Contributions do not violate any third-party rights, including intellectual property, privacy, and publicity rights, and do not contain unlawful, defamatory, or misleading content.

By submitting User Contributions (including general feedback, suggestions, or testimonials about Syslabs, Syslabs Academy, or Orgofin), You grant Us a non-exclusive, worldwide, royalty-free, sub-licensable license to use, reproduce, modify, publish, and display such User Contributions in connection with operating and promoting the Service, including on our website and marketing materials, unless You specifically request otherwise and We agree in writing.

If You submit a review or testimonial, it should be truthful and based on Your own experience, and should not contain personal information about third parties (such as their full names or contact details) without consent.

9. Privacy

Our Privacy Policy explains how We collect, use, share, and protect Your personal data, including under India's Digital Personal Data Protection Act 2023, the GDPR, and the CCPA/CPRA where applicable. By using the Service, You acknowledge that You have read and understood Our Privacy Policy.

10. Term, Suspension, and Termination

These Terms remain in effect for as long as You use the Service. We may suspend or terminate Your access to the Service (or any part of it) at Our discretion, with or without notice, if We reasonably believe You have violated these Terms, engaged in prohibited activity, or where required by law. For paid engagements under a Service Agreement, termination rights and any notice periods will be governed by that Service Agreement.

Upon termination of Your access to the Service for any reason, the provisions of these Terms that by their nature should survive termination (including, without limitation, intellectual property provisions, disclaimers, indemnification, and limitations of liability) will survive.

11. Modifications and Service Availability

We reserve the right to modify, update, or discontinue all or part of the Service at any time, with or without notice, including adding or removing industries, products, services, or course offerings described on the website. We will not be liable to You or any third party for any modification, suspension, or discontinuance of the Service, except as may be required under an active Service Agreement.

12. Changes to These Terms

We may revise these Terms from time to time. The updated Terms will be posted on this page with a revised "Last Updated" date. Material changes will, where required by law, be communicated via email or a prominent notice on the Service. Your continued use of the Service after any revision becomes effective constitutes Your acceptance of the revised Terms.

13. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Us, including scheduling tools (such as Calendly), payment gateways, social media platforms, and map services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access such third-party links and services at Your own risk.

14. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted under applicable Indian law. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

This disclaimer does not affect any warranties or commitments expressly set out in a Service Agreement for a paid engagement.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Syslabs, its partners, affiliates, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with Your use of, or inability to use, the Service, even if advised of the possibility of such damages.

Where Syslabs is found liable for any claim arising from the Service (other than under an active Service Agreement, which will govern liability for that engagement), Our aggregate liability will not exceed the amount, if any, paid by You to Us for access to the relevant part of the Service in the twelve (12) months preceding the claim, or INR 5,000, whichever is higher, except where such limitation is prohibited by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Syslabs, its partners, affiliates, and their respective directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your use of the Service in violation of these Terms; (b) Your User Contributions; or (c) Your violation of any rights of a third party.

17. Electronic Communications and Records

By using the Service, You consent to receive electronic communications from Us (including via email, SMS, or WhatsApp) and agree that electronic records and signatures, where used in connection with a Service Agreement or course enrollment, satisfy any legal requirement that such communications be in writing, to the extent permitted under the Information Technology Act, 2000.

18. International Users (Including California Residents)

The Service is operated from India and is governed by Indian law as set out in Section 19 (Governing Law and Dispute Resolution). If You access the Service from outside India, including from the United States or the European Union, You do so on Your own initiative and are responsible for compliance with local laws, to the extent local laws apply. California residents and EU/UK residents may have additional rights regarding their personal data under the CCPA/CPRA and GDPR respectively, as described in Our Privacy Policy; these Terms do not limit those statutory privacy rights where they validly apply.

19. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or Your use of the Service, will be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, including its existence, validity, interpretation, performance, breach, or termination, that cannot be resolved through good-faith negotiation within thirty (30) days, will be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Hyderabad, Telangana, India, conducted in the English language, before a sole arbitrator mutually appointed by the parties.

Subject to the arbitration agreement above, the courts at Hyderabad, Telangana, India, will have exclusive jurisdiction over any matters not subject to arbitration (including applications for interim relief in aid of arbitration), and You consent to the jurisdiction of such courts.

20. Corrections and Accuracy of Information

The Service may contain typographical errors, inaccuracies, or omissions, including in descriptions of industries, products, services, pricing, or availability. We reserve the right to correct any such errors, inaccuracies, or omissions and to update information on the Service at any time without prior notice.

21. Miscellaneous

These Terms, together with Our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between You and Syslabs regarding Your use of the Service. If any provision of these Terms is held to be invalid or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without Our prior written consent; We may assign these Terms without restriction.
